SAF do Cruzeiro completa um ano (Foto: Gustavo Aleixo) para autorização da venda de até 90% das ações e, no dia seguinte, , por meio da sua empresa Tara Sports, assinou contrato de intenção de compra da Sociedade Anônima do Futebol (SAF) do clube.
Depois da equipe mineira, outros grandes do futebol nacional também passaram a fazer parte desta nova realidade. É o caso do Botafogo, que tem como acionista majoritário o norte-americano John Textor, e o Vasco, que teve 70% das suas ações adquiridas pela 777 Partners.
Dentro de campo, tudo funcionou. O Cruzeiro sobrou na Série B do Campeonato Brasileiro, foi campeão e retornou à elite, assim como o Vasco, que também conseguiu o acesso. Já o Botafogo fez uma campanha sem muitos sustos e terminou o Brasileirão na 11ª colocação.
No caso da equipe mineira, porém, os problemas, em termos de gestão, começaram logo em janeiro, quando, ainda sem assinar a compra definitiva das ações, Ronaldo precisou desembolsar mais de R$ 20 milhões para pagar dívidas antigas e livrar o clube do transfer ban da Fifa.

CENÁRIO DO CRUZEIRO PRÉ-SAF
Em seminário recente, realizado pela Comissão de Valores Mobiliários (CVM), Gabriel Lima, CEO do Cruzeiro, relembrou o cenário encontrado no clube no início da transição para a SAF. “Quando a gente chegou, a gente viu que os números estavam inflados perto da capacidade financeira que o Cruzeiro tinha. O Cruzeiro tinha folha assinada de R$ 96 milhões, e tinha previsão de receita de R$ 40 milhões. Não precisa ser gênio da matemática para saber que não iria dar certo”, afirmou.
“A gente reduziu nosso orçamento para R$ 45 milhões e começamos o processo de reestruturação. Hoje, nosso modelo de negócio é com base em gestão e responsabilidade econômica. A gente não faz modelo de startup, de queimar caixa. Nosso modelo é de geração de caixa e viver do que gera, disse Lima.
Para Jorge Braga, ex-CEO do Botafogo e um dos principais responsáveis pela reestruturação que permitiu a transição do clube social para SAF, os desafios encontrados pelo Cruzeiro foram maiores do que os enfrentados pela agremiação carioca e ele explica o motivo.
“O processo de origem da SAF foi muito mais complicado que a do Botafogo. Inclusive, o Ronaldo fez o movimento de pagar, de fazer o primeiro aporte para resolver o transfer ban antes da SAF ter sido constituída. Esse fato, quando a SAF interfere nos negócios do clube ou o clube interfere nos negócios da SAF, seja fazendo pagamentos cruzados, transferindo obrigações e responsabilidade, influenciando ou tomando decisões pela outra, cria uma relação de subordinação que pode ser entendida como um único grupo econômico, o que rompe a proteção da lei frente aos credores progressos do clube”, afirmou.
“No Botafogo, antes mesmo da operação da SAF já tínhamos renegociado e alongado todas as dívidas trabalhistas, cíveis e tributárias. Fizemos o trabalho de casa antes de buscar um investidor, o que aumentou muito o valor da SAF, quando comparado com o múltiplo das receitas projetadas”, acrescentou.
E, de fato, os débitos do passado continuam assombrando o Cruzeiro. Segundo o Relatório XP/Convocados, a agremiação celeste fechou 2021 com dívidas totais de R$ 723 milhões. Com todo esse passivo e com ações trabalhistas se multiplicando a cada dia, o time mineiro optou pela recuperação judicial. No entanto, sob a alegação de suposta fraude na lista de credores, uma assembleia geral que seria realizada nos dias 7 e 15 de dezembro foi suspensa pelo Tribunal de Justiça de Minas Gerais.
“Boa parte dos problemas que o Cruzeiro tem sofrido com as questões judiciais vem em função exatamente dessa confusão, da falta de preparação adequada para o processo de SAF. Outro sintoma é o processo de recuperação judicial que estão tentando, onde as informações coletadas aparentemente estavam imperfeitas e imprecisas, o que era natural no dia a dia dos clubes que não tinham uma gestão profissional. Então, tudo isso é efeito da falta de preparação adequada para se fazer a transição”, afirmou Braga.
Apesar de tais problemas, o executivo também enumera alguns aspectos relevantes que têm sido trabalhados por Ronaldo Fenômeno e sua equipe, comparando com o que vem sendo realizado pelo Botafogo.
“Um ponto positivo que tenho visto é a preocupação e os movimentos que a SAF do Cruzeiro tem feito para resolver os temas de infraestrutura. Apesar do ‘gap’ ser menor do que o do Botafogo, a iniciativa e a disposição do time da SAF Cruzeiro têm sido muito maiores que a do Botafogo para resolver os problemas estruturais. Isso é o que garante a perenidade e a estratégia de base de um time de Série A que pretende concorrer a campeonatos importantes”, disse. Outro ponto relevante, segundo Braga, é a autonomia que a equipe de gestão recebe do Ronaldo. “Isso certamente tem colaborado para o foco e a velocidade de transformação pós-SAF. Há mais entregas do que promessas.”
A REALIDADE DAS SAFS NO BRASIL
Desde a aprovação da Lei da SAF, em 2021, é crescente o número de clubes, sejam eles grandes ou pequenos, que começam a adotar esse novo modelo de gestão. Diante desta realidade, já seria possível subdividir tais agremiações em grupos? Para Felipe Fazzion, advogado especialista em SAF e diretor executivo do Itabirito FC, de Minas, a resposta é ‘sim’.
“A SAF no Brasil já tem se dividido em três tipos de empresas. O primeiro é dos clubes que precisavam de uma gestão profissional e de grandes investimentos com urgência para que não entrassem em colapso, tais como Vasco, Botafogo e Cruzeiro. O segundo é dos clubes que preferiram se organizar para receber investimentos, tais como Bahia e Atlético Mineiro. O terceiro é dos clubes que vão buscar na Lei da SAF e nos investidores os incentivos para fortalecer ainda mais a empresa”, afirmou Fazzion.
E quanto ao futuro da gestão esportiva no Brasil, o que se pode esperar? O que acontecerá com aquelas agremiações que optarem pela continuação nos moldes antigos, gerindo o futebol como associações?
“Vejo que a SAF ainda não está 100% consolidada no país, pois ainda temos poucas decisões judiciais relativas aos processos existentes, contudo, entendo que, devido à falta de profissionalismo da maioria dos clubes, ela é um caminho sem volta. Ademais, acredito que os times que não se adequarem perderão espaço para as SAFs, até mesmo aquelas com menos torcedores, mas que tenham uma gestão sustentável”, disse Felipe Fazzion.
